(THE "COMPANY") AND THE PERSON WHO DOWNLOADS THE SOFTWARE WHICH ACCOMPANIES THIS AGREEMENT (THE "END USER"). THIS AGREEMENT GIVES A USER THE RIGHT TO USE THE COMPANY'S PRODUCTS AND SERVICES ("PRODUCTS") FROM ITS AGENTS PURSUANT TO A PURCHASE AGREEMENT, CONTRACT, SALES ORDER, INVOICE OR SIMILAR DOCUMENT ("PURCHASE CONTRACT"). THE COMPANY IS WILLING TO GRANT A USER THE RIGHT TO ACCESS AND USE THE COMPANY'S PRODUCTS ONLY IF THE USER ACCEPTS ALL OF THE TERMS OF THIS AGREEMENT. </p> <p> BY CLICKING THE "I AGREE" BUTTON BELOW AND ACCESSING THE PRODUCTS, THE USER ACKNOWLEDGES THAT USER HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY IT. IF THE USER DOES NOT AGREE TO ALL OF THE TERMS IN THIS AGREEMENT, THE USER SHOULD NOT ACCESS OR OTHERWISE UTILIZE THE PRODUCTS BECAUSE NO LICENSE SHALL HAVE BEEN GRANTED THERETO. </p><p> 1. License Grant. Client is granted a non-exclusive, non-transferable license to access the GoPrint2 Software solely by way of permitting End User to submit PDF files generated by the End User Software to be processed by the Server Software for Client's internal use. Client shall not transfer the PDF files generated by the End User Software to any third party or location other than licensed Client. </p><p> 2. Downloads. If End User desires to obtain the GoPrint2 Software electronically by way of a download, End User will download such software only from a Website owned by Racad or a Client. </p><p> 3. Transfer/Sublicense. You may not transfer, sublicense, distribute, rent, lease, supply, market or lend the Software to any other party. </p><p> 4. File Names. Client will not, and will not permit any third party to, change the name of the GoPrint2 printer driver file or GoPrint2 icon without Racad's prior written consent. </p><p> 5. No Modification. End User will not sell, rent, lease, modify, or translate the GoPrint2 Software or operate the GoPrint2 Software for the benefit of any third party (including, without limitation, operating the GoPrint2Software on a time share, service provision, or any other basis that would permit End User to Process PDF files for a third party). Client agrees that it will not attempt to reverse engineer, disassemble, decrypt or decompile the GoPrint2Software. </p><p> 6. Reservation of Rights. Racad reserves all rights not expressly granted under the license agreement. Title to the GoPrint2 Software will remain with Racad. End User agrees that those techniques, algorithms, and processes contained in the GoPrint2 Software hereunder constitute trade secret information of Racad or of Racad's third party supplier and will be used by End User only in accordance with the terms of this license agreement. </p><p> 7. Termination. Upon cancellation, termination or expiration of the Agreement this agreement shall terminate. In addition, Racad may terminate the agreement at any time, with or without cause, upon providing End User with a notice of termination, and upon receiving such notice, End User shall immediately discontinue all use or copying of the GoPrint2 Software, except as expressly provided in this Agreement. Within ten (10) days of such termination, End User shall have: (a) returned to Racad all copies of the GoPrint2 Software in its possession or under its control; (b) completely destroyed all copies of the GoPrint2 Software stored in any storage apparatus or media owned or controlled by End User; and, (c) presented to Racad a certificate stating that all such copies of the GoPrint2Software have been returned or destroyed. Sections 4 (File Names), 5 (No Modification), 6 (Reservation of Rights), 8 (Indemnity), and 10 (Injunctive Relief) shall survive termination or expiration of the license agreement. </p><p> 8. Indemnity. End User shall indemnify and hold Racad harmless against any claim, loss, liability or damage, including attorneys' fees and other costs, including costs of litigation, arising out of End User’s transfer, use, disclosure or copying of GoPrint2Software in violation of any provisions contained in the agreement. </p><p> 9. Third Parties. End User is hereby notified that Racad Technologies, a Ontario corporation, located at 1497 Yonge Street, Suite 201, Toronto, ON, M4T 1Z2 ("Racad") is the provider of the GoPrint2 Service. End User agrees that there are third-party beneficiaries to terms of this Agreement that relate to End User’s use of the GoPrint2 Service, which provisions are made expressly for the benefit of Racad and are enforceable by Racad. </p><p> 10. Injunctive Relief. In the event of End User’s failure to comply with the terms of this Agreement, Racad shall have the right to injunctive relief in addition to any other remedy available to it. </p><p> 11. Intellectual Property. All title, copyrights and other intellectual property rights in and to the Software (including but not limited to copyrights, patents, trade secrets and trademarks) are owned by Racad or its suppliers and licensors. You must maintain all copyright notices on all copies of the Software. All rights not expressly granted are reserved by Racad. Without prejudice to any rights or remedies Racad may have for your violation of this Software License, Racad shall own all changes or modifications to the Software. </p><p> 12. WARRANTY DISCLAIMER. EXCEPT AS EXPRESSLY PROVIDED HEREIN, RACAD'S PRODUCTS ARE PROVIDED "AS IS" AND RACAD MAKES NO REPRESENTATIONS OR WARRANTIES. RACAD EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND, FOR THE PRODUCTS AND ANY OTHER MATERIAL PROVIDED TO THE END USER BY RACAD INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. RACAD DOES NOT WARRANT THAT THE PRODUCTS ARE ERROR-FREE, THAT THEIR OPERATION WILL BE UNINTERRUPTED, OR THAT PRODUCTS WILL MEET ANY PARTICULAR USER REQUIREMENTS. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, RACAD MAKES NO WARRANTY, AND PROVIDES NO ASSURANCE, THAT THE PRODUCTS WILL MEET CERTIFICATION REQUIREMENTS OF ANY REGULATORY AUTHORITY OR OTHER ASSOCIATION LICENSING AGENCY, WITHIN OR OUTSIDE OF CANADA AND THE UNITED STATES. </p><p> 13. Limitation of Liability. Except as specifically provided herein, neither the Racad, its affiliates, resellers, agents, or licensors, if any, shall be liable for any claim, demand or action arising out of, or relating to, the End User's use of the Products or the Company's performance of (or failure to perform) any obligation under this Agreement or for special, incidental or consequential damages, including, without limitation, damages due to lost revenues or profits, business interruption, or other damages caused by End User's inability to use the Products, even if Racad, its affiliates, resellers, agents, or licensors have been advised of the possibility of such loss or damages, and whether or not such loss or damages is or are foreseeable. </p><p> 14. Waiver. The failure by a party to exercise any right hereunder shall not operate as a waiver of such party's right to exercise such right or any other right in the future. </p></value> </data> </root>

THE COMPANY IS WILLING TO GRANT A USER THE RIGHT TO ACCESS AND USE THE COMPANY'S PRODUCTS ONLY IF THE USER ACCEPTS ALL OF THE TERMS OF THIS AGREEMENT. </p> <p> BY CLICKING THE "I AGREE" BUTTON BELOW AND ACCESSING THE PRODUCTS, THE USER ACKNOWLEDGES THAT USER HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY IT. IF THE USER DOES NOT AGREE TO ALL OF THE TERMS IN THIS AGREEMENT, THE USER SHOULD NOT ACCESS OR OTHERWISE UTILIZE THE PRODUCTS BECAUSE NO LICENSE SHALL HAVE BEEN GRANTED THERETO. </p><p> 1. License Grant. Client is granted a non-exclusive, non-transferable license to access the GoPrint2 Software solely by way of permitting End User to submit PDF files generated by the End User Software to be processed by the Server Software for Client's internal use. Client shall not transfer the PDF files generated by the End User Software to any third party or location other than licensed Client. </p><p> 2. Downloads. If End User desires to obtain the GoPrint2 Software electronically by way of a download, End User will download such software only from a Website owned by Racad or a Client. </p><p> 3. Transfer/Sublicense. You may not transfer, sublicense, distribute, rent, lease, supply, market or lend the Software to any other party. </p><p> 4. File Names. Client will not, and will not permit any third party to, change the name of the GoPrint2 printer driver file or GoPrint2 icon without Racad's prior written consent. </p><p> 5. No Modification. End User will not sell, rent, lease, modify, or translate the GoPrint2 Software or operate the GoPrint2 Software for the benefit of any third party (including, without limitation, operating the GoPrint2Software on a time share, service provision, or any other basis that would permit End User to Process PDF files for a third party). Client agrees that it will not attempt to reverse engineer, disassemble, decrypt or decompile the GoPrint2Software. </p><p> 6. Reservation of Rights. Racad reserves all rights not expressly granted under the license agreement. Title to the GoPrint2 Software will remain with Racad. End User agrees that those techniques, algorithms, and processes contained in the GoPrint2 Software hereunder constitute trade secret information of Racad or of Racad's third party supplier and will be used by End User only in accordance with the terms of this license agreement. </p><p> 7. Termination. Upon cancellation, termination or expiration of the Agreement this agreement shall terminate. In addition, Racad may terminate the agreement at any time, with or without cause, upon providing End User with a notice of termination, and upon receiving such notice, End User shall immediately discontinue all use or copying of the GoPrint2 Software, except as expressly provided in this Agreement. Within ten (10) days of such termination, End User shall have: (a) returned to Racad all copies of the GoPrint2 Software in its possession or under its control; (b) completely destroyed all copies of the GoPrint2 Software stored in any storage apparatus or media owned or controlled by End User; and, (c) presented to Racad a certificate stating that all such copies of the GoPrint2Software have been returned or destroyed. Sections 4 (File Names), 5 (No Modification), 6 (Reservation of Rights), 8 (Indemnity), and 10 (Injunctive Relief) shall survive termination or expiration of the license agreement. </p><p> 8. Indemnity. End User shall indemnify and hold Racad harmless against any claim, loss, liability or damage, including attorneys' fees and other costs, including costs of litigation, arising out of End User’s transfer, use, disclosure or copying of GoPrint2Software in violation of any provisions contained in the agreement. </p><p> 9. Third Parties. End User is hereby notified that Racad Technologies, a Ontario corporation, located at 1497 Yonge Street, Suite 201, Toronto, ON, M4T 1Z2 ("Racad") is the provider of the GoPrint2 Service. End User agrees that there are third-party beneficiaries to terms of this Agreement that relate to End User’s use of the GoPrint2 Service, which provisions are made expressly for the benefit of Racad and are enforceable by Racad. </p><p> 10. Injunctive Relief. In the event of End User’s failure to comply with the terms of this Agreement, Racad shall have the right to injunctive relief in addition to any other remedy available to it. </p><p> 11. Intellectual Property. All title, copyrights and other intellectual property rights in and to the Software (including but not limited to copyrights, patents, trade secrets and trademarks) are owned by Racad or its suppliers and licensors. You must maintain all copyright notices on all copies of the Software. All rights not expressly granted are reserved by Racad. Without prejudice to any rights or remedies Racad may have for your violation of this Software License, Racad shall own all changes or modifications to the Software. </p><p> 12. WARRANTY DISCLAIMER. EXCEPT AS EXPRESSLY PROVIDED HEREIN, RACAD'S PRODUCTS ARE PROVIDED "AS IS" AND RACAD MAKES NO REPRESENTATIONS OR WARRANTIES. RACAD EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND, FOR THE PRODUCTS AND ANY OTHER MATERIAL PROVIDED TO THE END USER BY RACAD INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. RACAD DOES NOT WARRANT THAT THE PRODUCTS ARE ERROR-FREE, THAT THEIR OPERATION WILL BE UNINTERRUPTED, OR THAT PRODUCTS WILL MEET ANY PARTICULAR USER REQUIREMENTS. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, RACAD MAKES NO WARRANTY, AND PROVIDES NO ASSURANCE, THAT THE PRODUCTS WILL MEET CERTIFICATION REQUIREMENTS OF ANY REGULATORY AUTHORITY OR OTHER ASSOCIATION LICENSING AGENCY, WITHIN OR OUTSIDE OF CANADA AND THE UNITED STATES. </p><p> 13. Limitation of Liability. Except as specifically provided herein, neither the Racad, its affiliates, resellers, agents, or licensors, if any, shall be liable for any claim, demand or action arising out of, or relating to, the End User's use of the Products or the Company's performance of (or failure to perform) any obligation under this Agreement or for special, incidental or consequential damages, including, without limitation, damages due to lost revenues or profits, business interruption, or other damages caused by End User's inability to use the Products, even if Racad, its affiliates, resellers, agents, or licensors have been advised of the possibility of such loss or damages, and whether or not such loss or damages is or are foreseeable. </p><p> 14. Waiver. The failure by a party to exercise any right hereunder shall not operate as a waiver of such party's right to exercise such right or any other right in the future. </p></value> </data> </root>
